ARTICLES OF ASSOCIATION AND BY-LAWS


ARTICLE I

NAME

The name shall be the Vermont Retired State Employees Association, Inc. (aka-VRSEA)

ARTICLE II

PURPOSE

The purposes of the VRSEA shall be:

Sec. 1. To promote good will and fellowship among all retired state employees and all persons who share the aims and goals of the VRSEA.

Sec. 2. To provide a medium through which all retired state employees and beneficiaries may express their views on legislation, regulations affecting their retirement provisions, and other matters affecting them.

Sec. 3. To provide a medium for the effective interchange of ideas and information between VRSEA and all entities and individuals with common interests and concerns.

Sec. 4. All persons receiving, or eligible to receive, retirement benefits through the State of Vermont shall be eligible to be a member of the VRSEA.

Sec. 5. The VRSEA shall be non-partisan in the conduct of its business.

 

ARTICLE III

OFFICERS, TRUSTEES AND REPRESENTATIVES

Sec. 1. The officers of the VRSEA shall be a President, Vice-President, Secretary and Treasurer.

Sec. 2 There shall be one Representative and one Alternate Representative from the Association to the VERMONT STATE RETIREMENT Board pursuant to the provisions of 3 V.S.A 471. Any VRSEA member in good standing may fill either of these two positions. If not an elected member of the Board, such person shall attend Vermont Retired State Employees Association board meetings and be included in board correspondence, as a non-voting ex-officio member.

Sec. 3. The President shall be the executive head of the VRSEA and shall preside at all of its meetings. The President shall also be chairperson of the Board of Trustees.

Sec. 4. The Vice-President shall act as President and Board Chairperson in the absence of the President.

Sec. 5. The Secretary shall cause to be issued notice of all meetings of the VRSEA and the Board of Trustees and keep and publish the record of all such meetings. The Secretary shall keep a record of all officers, trustees, representatives and committee members. The Secretary shall conduct correspondence on behalf of the VRSEA and perform other duties as the Board may determine.

Sec. 6. The Treasurer shall receive all dues from members and issue membership cards for the same. The Treasurer shall also receive, record, and secure all other income that the VRSEA may receive. The Treasurer shall pay all bills authorized by the Board and keep a true record of all receipts and disbursements. The Treasurer shall keep the VRSEA Funds in accounts under the name of the VRSEA. The Treasurer shall make a report of the financial affairs of the VRSEA at the Annual Meeting. The Treasurer shall submit all books and accounts to an auditing committee named by the Board as soon as practical after the close of the fiscal year. The audited Treasurer’s Report shall be submitted within one month after receiving the books for audit to the VRSEA President and Board of Trustees. In the absence of the Treasurer, the President or designee named by the President shall carry out the necessary duties of the Treasurer.

Sec. 7. The VRSEA fiscal year shall start on October 1 of each year and end on September 30 of the next year.

Sec. 8. The Board of Trustees shall consist of the four Officers and six other Members of the VRSEA and the Immediate Past President. In the event the immediate past president declines or is unable to serve, the office shall go to the next available immediate past president.

Sec. 9. The Board of Trustees shall carry out the instructions of the membership as voted at any Annual Meeting.

 

ARTICLE IV

SELECTING OFFICERS, TRUSTEES AND REPRESENTATIVES

Sec. 1. All trustees shall be elected to two year terms.

Sec. 2. All trustees shall be elected by the voting members at an Annual Meeting of the VRSEA. All elections shall be by plurality vote of the members present.

Sec. 3. Any vacancy of an elected position occurring between annual meetings may be filled by a VRSEA member appointed by the President, with the approval of the Board of Trustees for the balance of the unexpired term.

Sec. 4. All officers of the board and the representatives to the Vermont State Retirement Board will be elected annually at the first meeting in the new fiscal year. The immediate past president shall act as convener. If a vacancy occurs thereafter, the board shall fill the balance of the term as soon as is reasonable.

 

ARTICLE V

BY LAWS

Sec. 1. The regular Annual Meeting of the VRSEA shall be held, at the call of the President, during the months of August or September of each year. Roberts Rules of Order shall be used for the conduct of the Annual Meeting.

Sec. 2. The Board of Trustees shall meet at the call of the President, and at such other times as the duties of their office may require.

The Board shall use Roberts Rules of Order for the conduct of its meetings.

Sec. 3. Special meetings of the VRSEA shall be called by the President upon receipt of a written request signed by twenty members or three Trustees of the VRSEA. The request shall also specify the special matters to be considered, and the business taken up at such meetings shall be limited to the specific items included in the request. Such meeting shall be warned and noticed by the Secretary in the manner set for regular Annual Meetings.

Sec. 4. A quorum for Annual Meetings shall consist of the members of the VRSEA present. A quorum of the Board of Trustees meetings shall consist of five members.

Sec. 5. VRSEA membership annual dues may be established by a simple majority vote of members present and voting at any Annual Meeting duly warned for that purpose.

Sec. 6. Dues shall be payable annually. No one shall be eligible to vote or hold office whose current dues have not been paid at the time of the voting or taking office.

Sec. 7. The Auditing Committee shall be composed of two or more members to be appointed by the President with the approval of the Board of Trustees. It shall be the duty of this Committee to audit the accounts of the Treasurer and report on same to the President and Board of Trustees.

Sec. 8. There shall be a Nominating Committee composed of three members or more to be appointed by the President. It shall be the duty of the Committee to nominate candidates for trustee to be presented to the membership at the VRSEA Annual Meeting.

Sec. 9. Other committees may be appointed at any time by the President, such duties as the President or the members may prescribe.

 

ARTICLE VI

AMENDMENTS

Sec. 1. Amendments to the Articles and Bylaws of the VRSEA may be made by a two-thirds majority vote of the members present and voting at a regular Annual Meeting. All proposed amendments shall have been warned to each member of the VRSEA by the Secretary at least ten days before the Annual Meeting at which the proposed amendment will be subject to vote.
